Effective from: 1 January 2026
1.1 These General Terms and Conditions (the "Terms") govern the mutual rights and obligations between David Kleňha, as the provider of live music production (the "Band"), and the natural or legal persons who book a musical performance (the "Organiser").
1.2 The subject of the services is the provision of live music production at the Organiser's event (wedding, corporate party, ball or other social event), delivered as a live performance in the agreed line-up and scope.
1.3 These Terms form part of every performance contract concluded between the Band and the Organiser. Differing arrangements in an individual contract take precedence over these Terms.
1.4 The contractual relationship is governed by Czech law, in particular Act No. 89/2012 Coll. (the Civil Code) and Act No. 121/2000 Coll. (the Copyright Act).
2.1 Ordering takes place in three steps: enquiry → non-binding offer → confirmation. An enquiry may be submitted via the web form, by e-mail or by phone.
2.2 Based on the enquiry, the Band sends the Organiser a non-binding indicative offer reflecting the date, place, scope and line-up.
2.3 The contract is concluded the moment the Organiser confirms the offer, or by signing a written contract for artistic performance. Confirmation sent by e-mail is deemed a valid conclusion of the contract.
2.4 The Organiser must provide true and complete information necessary to deliver the event (name, contact, date, place, time, scope and nature of the event).
3.1 The price of the music production is agreed individually and depends on the scope of the production, the line-up, the venue, travel and the nature of the event. The specific price is always stated in the offer or the contract. For events abroad (including Germany and Austria), a fair travel cost share is added.
3.2 The Band is not a VAT payer; the stated prices are final.
3.3 The Band does not require a deposit in advance.
3.4 The Organiser pays the total contractual price by bank transfer no later than 10 days after the date of the event, to the bank account stated in the contract or the invoice.
3.5 The Band is entitled to issue a tax document (invoice) after the production has taken place.
4.1 The Organiser has the right to withdraw from the contract. In that case the Organiser undertakes to pay the Band a contractual penalty (cancellation fee) as partial compensation for lost profit and for blocking the date, in the following amount:

4.2 The Band may withdraw from the contract only for reasons of force majeure (sudden serious illness, an injury preventing performance, a death in the family, a natural disaster, etc.).
4.3 If the Band withdraws under point 4.2, it must inform the Organiser without delay and arrange an adequate replacement of corresponding quality and genre for the event. If the Organiser refuses the replacement, the Band is not obliged to perform and no contractual penalty arises.
4.4 Withdrawal must be made in writing; an e-mail to the contact address in the header is sufficient.
5.1 The Band undertakes to arrive at the venue on time and to deliver the music production in the agreed scope and line-up.
5.2 The Band will provide the Organiser with a list of the works performed and their authors (the song list) no later than 14 days before the event, where this is needed to meet the reporting obligation towards collective rights managers.
5.3 The Band generally provides its own instruments and basic PA suitable for the given space; the specific scope of the PA is agreed individually according to the nature and size of the event.
5.4 In the event of bad weather (for outdoor events) or a disruption to the power supply, the Band acts in cooperation with the Organiser and has the right to interrupt the production if the equipment is at risk of damage.
6.1 The Organiser must check whether the event is a public performance within the meaning of the Copyright Act and, if so, fulfil the reporting obligation towards the collective manager (OSA) and pay the relevant licence fees.
6.2 The Organiser will make the venue accessible at least 60 minutes before the start of the production for set-up and a sound check.
6.3 The Organiser will provide a quality and safe 230 V power supply at the place of the production and take care of the safety and protection of the Band's property.
6.4 The Organiser will provide the musicians with suitable seating and reasonable refreshments (food and non-alcoholic drinks) for the duration of the production, in a number corresponding to the agreed line-up.
6.5 The Organiser will provide free parking near the venue to the extent agreed in the contract.
7.1 The Band has the right to end the production immediately while retaining the right to the full fee if the Organiser fails to ensure safety and the event is seriously disrupted by participants (e.g. due to alcohol or aggressive behaviour), or if the equipment is at risk of damage due to inadequate wiring.
7.2 In the event of damage to the Band's property caused by event participants or by the Organiser's failure to meet the safety conditions, the Organiser will pay the costs of repair or compensation in full.
8.1 The Band processes the Organiser's personal data in accordance with Regulation (EU) 2016/679 (GDPR). Details are set out in the Privacy Policy.
9.1 The contract may be amended only by written, consecutively numbered amendments signed by both parties.
9.2 Rights and obligations not expressly governed by the contract or these Terms are governed by the relevant provisions of the Civil Code.
9.3 The Band reserves the right to amend these Terms. For contracts already concluded, the version of the Terms effective on the date of conclusion applies.
These Terms take effect on 1 January 2026.
